1             Anwendungsbereich   1           Scope
(1)   Die nachstehenden Verkaufs- und Lieferbedingungen (im Folgenden auch: „AGB“) gelten für die gesamte Geschäftsverbindung zwischen der Framos GmbH („Framos“) ihren Kunden („Kunde“), d.h. für alle Verträge, Lieferungen und sonstige Leistungen einschließlich Beratungs- und Werkleistungen sowie vorvertragliche Schuldverhältnisse. Die AGB gelten nur insoweit nicht, als sie mit ausdrücklicher Zustimmung von Framos abgeändert oder ausgeschlossen werden. Sie gelten für den vorliegenden Vertrag und auch für zukünftige Geschäfte, auch wenn sie nicht nochmals gesondert vereinbart werden.   (1)   The following Terms and Conditions of Sale and Delivery (hereinafter also referred to as: “General Terms”) shall apply to the entire business relationship between the Framos GmbH (“Framos”) and its customers (“Customer”), i.e. to all contracts, deliveries and other services, including advisory services and the supply of services (“Werkleistungen”) as well as pre-contractual obligations. These General Terms shall not apply as far as they are modified or excluded with the express consent of Framos. They shall apply to the present contract and also to all future business transactions, even if they are not separately agreed upon again.
(2)  Allgemeine Geschäftsbedingungen des Kunden (z.B. Einkaufsbedingungen) oder sonstige abweichende Vereinbarungen gelten nur, wenn sie durch Framos schriftlich und ausdrücklich anerkannt werden. Als Anerkennung gilt weder Schweigen noch die Lieferung ohne ausdrücklichen Widerspruch durch Framos.   (2)   General terms and conditions of the Customer (e.g. terms of purchase) or other deviating agreements shall only apply, if they are acknowledged by Framos explicitly and in writing. Neither silence nor the delivery without Framos’ explicit objection shall be deemed as an acknowledgement.
2              Angebot und Vertragsabschluss   2           Offer and Conclusion of the Contract
(1)   Angebote von Framos sind stets freibleibend und unverbindlich, soweit sie nicht ausdrücklich als verbindlich gekennzeichnet sind oder eine bestimmte Annahmefrist enthalten.   (1)   Offers by Framos are always subject to change and non-binding, unless they are explicitly marked as binding or they contain a specific deadline for acceptance.
(2)   Angaben zum Liefergegenstand und zu Leistungen stellen keine Garantie dar, sondern sind lediglich Beschreibungen des Vertragsgegenstandes. Im Übrigen sind Garantien nur wirksam, wenn sie schriftlich vereinbart worden sind.   (2)   Information on the object of delivery and on the services shall not constitute a guarantee, but are merely descriptions of the subject matter of the contract. Moreover, guarantees shall only be valid if they have been agreed upon in writing.
(3)   Bestellungen oder Aufträge des Kunden gelten als verbindliche Angebote des Kunden und können durch Framos innerhalb von vierzehn Tagen nach Zugang im Wege einer Auftragsbestätigung angenommen werden.    (3)   Customers’ purchase orders or orders shall be considered as binding offers of the Customer and may be accepted by Framos within fourteen days after receipt by means of an order confirmation. 
(4)   Durch die textförmige Auftragsbestätigung von Framos kommt ein verbindlicher Vertrag mit dem Kunden zustande. Abweichende individuelle Abreden haben Vorrang.   (4)   A binding contract with the Customer shall be concluded upon the written confirmation of the order by Framos. Deviating individual agreements shall take precedence.
(5)   Framos behält sich das Eigentum oder Urheberrecht an allen von ihr abgegebenen Angeboten und Kostenvoranschlägen sowie dem Kunden zur Verfügung gestellten Zeichnungen, Abbildungen, Berechnungen, Prospekten, Katalogen, Modellen, Werkzeugen und anderen Unterlagen und Hilfsmitteln vor. Der Kunde darf diese Gegenstände ohne ausdrückliche Zustimmung der Framos weder als solche noch inhaltlich Dritten zugänglich machen, sie bekannt geben, selbst oder durch Dritte nutzen oder vervielfältigen. Er hat auf Verlangen der Framos diese Gegenstände vollständig an diese zurückzugeben und eventuell gefertigte Kopien zu vernichten, wenn sie von ihm im ordnungsgemäßen Geschäftsgang nicht mehr benötigt werden oder wenn Verhandlungen nicht zum Abschluss eines Vertrages führen. Ausgenommen hiervon ist die Speicherung elektronisch zur Verfügung gestellter Daten zum Zwecke üblicher Datensicherung.   (5)  Framos retains title or copyright to all their submitted offers and cost estimates as well as to drawings, illustrations, calculations, brochures, catalogues, models, tools and other documents and resources which were provided to the Customer. The Customer may not make neither these items themselves nor their contents accessible to third parties, disclose them, use or reproduce them himself or through third parties. Upon request by Framos, he shall return all of these items completely and destroy any copies he may have made if he no longer needs them in the proper course of business or if the negotiations do not result in the conclusion of a contract. The storage of data which was provided in electronic form for the purpose of usual data backup shall be excluded thereof. 
(6)   Falls und soweit Framos die Auftragsbestätigung unter Vorbehalt erteilt, kommt ein verbindlicher Vertrag zustande. Allerdings hat Framos ein Sonderrücktrittsrecht für den Fall, dass Framos die zur Vertragserfüllung erforderlichen Komponenten von seinen Vorlieferanten nicht beschaffen kann. Framos ist nicht verpflichtet, die Komponenten von Vorlieferanten zu beschaffen, mit denen Framos keine bestehende Geschäftsbeziehung hat. Das Sonderrücktrittsrecht ist unverzüglich auszuüben, sobald Framos feststellt, dass die Komponenten nicht beschafft werden können.    (6)   If and to the extent that Framos issued the order confirmation subject to a reservation, a binding contract shall be concluded. However, Framos shall have a special right of rescission in case Framos cannot obtain the components necessary for the performance of the contract from his upstream supplier. Framos shall not be obliged to obtain these components from suppliers with which Framos does not have any existing business relationship. As soon as Framos realises that the components cannot be obtained, the special right of rescission must immediately be exercised. 
3          Gegenstand der vertraglichen Pflichten von Framos   3           Contractual Obligations of Framos
(1)   Zur Erbringung von Werkleistungen (§§ 631 ff. BGB) ist Framos nur dann verpflichtet, wenn dies ausdrücklich vereinbart worden ist. Liefert Framos herzustellende bewegliche Sachen, findet das Recht der Werklieferungsverträge Anwendung (§ 651 BGB).    (1)   Framos shall only be obliged to produce a work (Sections 631 et seq. of the German Civil Code) if this has been expressly agreed upon. If Framos supplies movable things to be produced or manufactured, the sale of goods law shall apply (Section 652 of the German Civil Code). 
(2)   Framos erbringt gegenüber dem Kunden keine Beratungsleistungen, es sei denn, dies ist ausdrücklich vereinbart. Soweit mit dem Kunden im Einzelfall ausdrücklich die Erbringung von Beratungsleistungen vereinbart ist, gilt Folgendes: Der Beratungsvertrag ist ein gesonderter Vertrag, der neben dem Liefervertrag geschlossen wird. Framos verpflichtet sich lediglich zur Erbringung einer Beratungstätigkeit, nicht eines Beratungserfolges.    (2)   Framos shall not provide the Customer with any advisory services, unless this is explicitly agreed upon. To the extent that an agreement on the provision of advisory services was made with the Customer, the following shall apply: The advisory contract is a separate contract which is concluded in addition to the delivery contract. Framos only undertakes to provide an advisory activity, not an advisory success.  
(3)   Soweit Framos Leistungen zur Anlagen- bzw. Komponenten-Wartung, technischen Support oder Ähnliches erbringt, ist kein Erfolg, sondern lediglich eine Dienstleistung (§ 611 BGB) geschuldet.    (3)   As far as Framos provides services for plant and component maintenance, technical support or the like, it shall not owe the success, but merely the performance of a service (Section 611 of the German Civil Code). 
4              Preise und Zahlung   4           Prices and Payment
(1)   Vereinbarte Preise gelten für den vertraglich vereinbarten Liefer- und Leistungsumfang. Mehr- und Sonderleistungen werden gesondert berechnet.   (1)   Agreed prices shall apply to the contractually agreed scope of supply and services. Additional and special services shall be invoiced separately.
(2)   Zu den angebotenen und vereinbarten Preisen ist stets die Umsatzsteuer in der gesetzlichen Höhe hinzuzurechnen, soweit sie anfällt.    (2)   The value added tax (VAT) at the statutory rate shall always be added to the offered and agreed prices, as far as it is imposed.
(3)   Soweit Framos den angebotenen Leistungen Listenpreise zugrunde gelegt hat und die Leistung mehr als vier Monate nach Vertragsschluss erbracht wird, gelten die bei Lieferung bzw. Leistungserbringung gültigen Listenpreise.   (3)   Insofar as the services offered were based on list prices by Framos and the service is performed more than four months after the conclusion of the contract, the valid list prices at the time of the delivery or the performance of the service shall apply.
(4)   Soweit nicht anders vereinbart, ist Framos berechtigt, den Liefergegenstand bei Versendung auf Rechnung des Kunden zu marktüblichen Bedingungen gegen Bruch zu versichern. Für die Versicherung berechnet Framos dem Kunden 1 % vom Nettorechnungswert, mindestens EUR 0,50 je Sendung   (4)   Unless otherwise agreed, Framos shall be entitled to insure the delivery item against breakage at the time of shipment on standard market terms for the account of the Customer. The Customer shall be charged 1 % of the net invoice value by Framos, at least EUR 0.50 per shipment.
(5)   Soweit nicht anders vereinbart, sind Zahlungen mit Zugang der Rechnung fällig und innerhalb von 14 Tagen in voller Höhe auf das in der Rechnung angegebene Konto von Framos zu überweisen. Maßgeblich ist der Geldeingang bei Framos.   (5)   Unless otherwise agreed, payments shall be due upon receipt of the invoice and shall be transferred to the account of Framos, which is specified in the invoice, in full within 14 days. The date of the cash receipt by Framos shall be relevant.
(6)   Gegen Zahlungsansprüche von Framos kann der Kunde nur mit unbestrittenen oder rechtskräftig festgestellten Gegenforderungen aufrechnen.   (6)   The Customer may only offset counterclaims against payment entitlements of Framos that are undisputed or have been declared final and absolute.
(7)   Das Recht, Zahlungen oder sonstige Gegenleistungen zurückzubehalten, steht dem Kunden nur zu, soweit die Gegenansprüche auf demselben Vertragsverhältnis beruhen und diese Gegenansprüche unbestritten oder rechtskräftig festgestellt worden sind. Erhebt der Kunde Mängelrüge, darf er Zahlungen nur in einem Umfang zurückhalten, der in einem angemessenen Verhältnis zu den aufgetretenen Mängeln steht.   (7)   TThe Customer shall only have the right to retain payments or other considerations to the extent that the counterclaims are based on the same contractual relationship and those counterclaims are undisputed or have been declared final and absolute. In case the Customer gives notice of defects, he may retain payments only to the extent that is proportionate to the defects that have occurred.
(8)  Befindet sich der Kunde in Zahlungsverzug, berechnet Framos als Verzugsschaden die für Framos jeweils geltenden Zinsen für Bankkredite einer europäischen Großbank, mindestens jedoch neun Prozentpunkte über dem Basiszinssatz.   (8)   If the Customer is in default of payment, Framos shall charge the interest rate for bank loans of a major European bank applicable to Framos in each case as damages due to late payments, but at least 9 percentage points above the base rate.
(9)   Framos ist berechtigt, noch ausstehende Lieferungen und Leistungen nur gegen Vorauszahlung oder Sicherheitsleistung auszuführen, soweit nach Abschluss des Vertrages Umstände bekannt werden, die die Kreditwürdigkeit des Kunden wesentlich zu mindern geeignet sind und die Erfüllung offener Forderungen von Framos aus dem Vertragsverhältnis gefährden.   (9)   Framos shall be entitled to effect outstanding deliveries and services only against advance payment or provision of security insofar as circumstances become known after the conclusion of the contract which are suitable to reduce the creditworthiness of the Customer significantly and put the fulfilment of Framos’ open receivables that result from the contractual relationship at risk.
5             Mitwirkungspflichten des Kunden   5           Customer’s Cooperation Obligations
(1)   Der Kunde erbringt sämtliche Mitwirkungsleistungen, die erforderlich sind, damit Framos ihre Leistungen erbringen kann. Dem Kunden obliegt insbesondere die Freigabe von Musterund Konstruktionsmodellen, deren Änderung, die Beibringung erforderlicher behördlicher Bescheinigungen oder Genehmigungen sowie Genehmigungen der Einbauzeichnungen.   (1)   The Customer shall participate as required in order to enable Framos to perform their services. In particular, the Customer is responsible for the approval of sample and construction models, their modification, the procurement of required regulatory certificates or permits as well as the approval of installation drawings.
(2)   Erfüllt der Kunde seine Mitwirkungsleistungen nicht oder nicht ordnungsgemäß, so entfällt die Verpflichtung der Framos zur Erbringung ihrer Leistungen in dem Umfang und für den Zeitraum, in dem diese von der vorherigen Erfüllung von Mitwirkungsleistungen des Kunden abhängen.   (2)   In case the Customer fails to participate or fails to participate properly, the obligation of Framos to provide their services shall not apply to the extent and for the period in which these depend on the previous participation of the Customer.
(3)   Nachteile und Mehrkosten, die dadurch ausgelöst werden, dass der Kunde seine Mitwirkungsleistungen nicht erbringt, gehen zu Lasten des Kunden. Sonstige gesetzliche Rechte und Ansprüche von Framos bleiben unberührt.   (3)   Disadvantages and additional costs caused by the fact that the Customer fails to participate shall be borne by the Customer. Other statutory rights and claims of Framos remain unaffected.
6           Liefer-/ Leistungszeit; Lieferverzug und Unmöglichkeit   6           Time of Delivery / Performance; Delay in Delivery and Impossibility
(1)   Die von Framos in Aussicht gestellten Liefer-/Leistungszeiten sind nicht verbindlich. Etwas anderes gilt nur, wenn eine feste Frist oder ein fester Termin ausdrücklich von Framos zugesagt oder mit Framos vereinbart worden ist. Wurde eine Versendung vereinbart, beziehen sich Liefer-/Leistungszeiten auf den Zeitpunkt der Übergabe an den Spediteur, Frachtführer oder sonst mit dem Transport beauftragten Dritten.   (1)   The delivery/performance times proposed by Framos are not binding. This shall not apply if a fixed deadline or date has been explicitly confirmed by Framos or agreed upon with Framos. In case shipment was agreed upon, the delivery/performance times shall refer to the time of the transfer to the forwarder, the carrier or other third parties specified to carry out the shipment.
(2)   Framos kann die Liefer-/Leistungszeiten um den Zeitraum verlängern, während dessen der Kunde seinen vertraglichen Verpflichtungen nicht nachkommt, insbesondere vereinbarte Mitwirkungsleistungen nicht erbringt. Die Einrede des nicht erfüllten Vertrags und weitergehende Ansprüche oder Rechte bleiben Framos vorbehalten. Verlangt der Kunde von Framos eine Verschiebung der Liefer-/Leistungszeit, verändert sich hierdurch die Fälligkeit der Zahlungs- und sonstigen vertraglichen Pflichten des Kunden nicht. In diesem Fall wird der Kunde vorleistungspflichtig.   (2)   Framos may extend the delivery/performance times by the period during which the Customer failed to meet his contractual obligations, particularly the participation agreed upon. The defence of unperformed contract and further claims or rights remain reserved to Framos. If the Customer requests a postponement of the delivery/performance time, the due date of the payment and other contractual obligations of the Customer shall not change. In this case the Customer shall become obliged to perform in advance.
(3)   Soweit Framos Liefer-/Leistungszeiten aus nicht von Framos zu vertretenden Gründen nicht einhalten kann („Nichtverfügbarkeit der Leistung“), wird Framos den Kunden hierüber unverzüglich informieren und, sofern möglich, gleichzeitig die voraussichtliche neue Liefer- /Leistungszeit mitteilen. Ein Fall der Nichtverfügbarkeit der Leistung kann insbesondere vorliegen, wenn ein Zulieferer nicht, nicht vertragskonform oder nicht rechtzeitig an Framos liefert. Ist die Leistung auch innerhalb der neuen Liefer-/Leistungszeit nicht verfügbar, ist Framos berechtigt, ganz oder teilweise vom Vertrag zurückzutreten; Framos ist verpflichtet den Kunden unverzüglich über die Nichtverfügbarkeit zu informieren; eine bereits erbrachte Gegenleistung des Kunden wird unverzüglich erstattet.    (3)   As far as Framos cannot meet the delivery/performance times due to reasons Framos is not responsible for (“unavailability of performance”), Framos shall immediately inform the Customers and, if possible, at the same time provide the expected new delivery/performance time. In particular, a case of unavailability of performance may occur if a supplier fails to deliver at all, fails to deliver according to the contract or fails to deliver to Framos on time. Framos shall be entitled to rescind the contract in whole or in part if the good or service is also not available within the new delivery/performance time; Framos shall immediately inform the Customer on the unavailability; a consideration that was already paid by the Customer will be refunded immediately.
(4)   Soweit nichts Abweichendes vereinbart ist, ist Framos zu Teillieferungen berechtigt, wenn die Teillieferung für den Kunden im Rahmen des vertraglichen Bestimmungszwecks verwendbar ist, die Lieferung der restlichen bestellten Ware sichergestellt ist, dem Kunden hierdurch kein erheblicher Mehraufwand oder zusätzliche Kosten entstehen (es sei denn, Framos erklärt sich zur Übernahme dieser Kosten bereit) und die Teillieferung für den Kunden auch im Übrigen nicht unzumutbar ist.   (4)   Unless otherwise agreed, Framos shall be entitled to make partial deliveries if the partial delivery can be used by the Customer within the scope of the contractually intended purpose, the delivery of the remaining goods ordered is ensured, there are no significant additional expenses or additional costs for the Customer (unless Framos agrees to cover these costs) and the partial delivery is not otherwise unreasonable for the Customer.
(5)   Der Eintritt des Lieferverzugs bestimmt sich nach den gesetzlichen Vorschriften. In jedem Fall ist aber eine Mahnung durch den Kunden erforderlich.   (5)   The occurrence of default of delivery shall be determined in accordance with the statutory provisions. In each case, however, a reminder by the Customer is required.
(6)   Gerät Framos mit einer Lieferung oder Leistung in Verzug oder wird Framos eine Lieferung oder Leistung, gleich aus welchem Grunde, unmöglich, so ist die Haftung von Framos auf Schadens- und Aufwendungsersatz nach Maßgabe der Ziffer 11 dieser AGB beschränkt.   (6)   In the event that Framos is in default with a delivery or the performance of a service or if a delivery or service becomes impossible for Framos for whatever reason, the liability of Framos shall be limited to damages and reimbursement of expenses in accordance with the provisions of paragraph 11 of these General Terms.
7           Versand, Gefahrübergang, Abnahme   7           Shipping, Passage of Risks, Acceptance
(1)   Soweit Framos Lieferklauseln gemäß INCOTERMS (z.B. EXW) verwendet, sind die INCOTERMS 2020 gemeint.   (1)   As far as Framos uses delivery clauses in accordance with INCOTERMS (e.g. EXW), this relates to the INCOTERMS 2020.
(2)   Die Art der Versendung und Verpackung liegen im pflichtgemäßen Ermessen von Framos. Der Kunde trägt die Kosten der Verpackung und deren Entsorgung.   (2)   The type of shipping and packaging shall be in the dutiful discretion of Framos. The Customer shall bear the costs of packaging and recycling.
(3)   Die Gefahr eines zufälligen Untergangs oder einer zufälligen Verschlechterung geht spätestens mit der Übergabe des Liefergegenstandes (wobei der Beginn des Verladevorgangs maßgeblich ist) an den Spediteur, Frachtführer oder sonst zur Ausführung der Versendung bestimmten Dritten auf den Kunden über, und zwar auch dann, wenn Teillieferungen erfolgen oder Framos noch andere Leistungen, z. B. die Versandkosten oder Anlieferung und Aufstellung, schuldet. Soweit eine Abnahme zu erfolgen hat, ist diese für den Gefahrübergang maßgebend. Der Kunde hat die Abnahme unverzüglich nach Meldung der Abnahmebereitschaft durch Framos durchzuführen. Verzögert sich oder unterbleibt der Versand oder die Abnahme infolge von Umständen, die Framos nicht zuzurechnen sind, geht die Gefahr an dem Tag auf den Kunden über, an dem der Liefergegenstand versand- bzw. abnahmebereit ist und Framos dies dem Kunden angezeigt hat.   (3)   The risk of accidental destruction or accidental deterioration shall pass no later than with the transfer of the delivery item to the forwarder, the carrier or other third parties specified to carry out the shipment (whereby the beginning of the loading process is relevant), even in the case that partial deliveries are made or Framos still owes other performances, such as shipping costs or delivery and installation. Insofar as an acceptance has to be carried out, this shall be decisive for the passage of risks. The Customer shall carry out the acceptance immediately after notification of readiness for acceptance has been given by Framos. If the shipment is delayed or does not take place due to circumstances not attributable to Framos, the risk shall be passed to the Customer on the day the delivery item is ready for shipment or, respectively, for acceptance and Framos has notified the Customer on this.
8              Verlängerter Eigentumsvorbehalt   8           Extended Retention of Title
(1)   Der nachfolgend vereinbarte Eigentumsvorbehalt dient der Sicherung aller jeweils bestehenden Forderungen von Framos gegen den Kunden aus der zwischen Framos und dem Kunden bestehenden Geschäftsverbindung einschließlich Saldoforderungen eines auf die Geschäftsverbindung beschränkten Kontokorrentverhältnisses.   (1)   The following agreed upon retention of title serves to secure all existing claims of Framos against the Customer resulting from the existing business relationship between Framos and the Customer, including balance claims from a current accounts relationship that is limited to the business relationship.
(2)   Der an den Kunden gelieferte Liefergegenstand bleibt bis zur vollständigen Bezahlung aller gesicherten Forderungen im Eigentum von Framos. Der Eigentumsvorbehalt erfasst sowohl den Liefergegenstand als auch den an die Stelle des Liefergegenstandes getretenen Gegenstand (“Vorbehaltsware”). Der Kunde verwahrt die Vorbehaltsware unentgeltlich für Framos.   (2)   The delivery item delivered to the Customer shall remain in the property of Framos until complete payment of all secured receivables. The retention of title shall include the delivery item as well as the good replacing the delivery item (“goods subject to retention of title”). On behalf of Framos, the Customer shall hold goods subject to retention of title in safe custody free of charge.
(3)   Solange Framos nicht wegen vertragswidrigen Verhaltens des Kunden vom Vertrag zurückgetreten ist („Verwertungsfall“), ist der Kunde berechtigt, die Vorbehaltsware im ordnungsgemäßen Geschäftsverkehr zu verarbeiten und zu veräußern. Der Kunde ist demgegenüber nicht zu Verpfändungen oder Sicherungsübereignungen berechtigt. Ein Rücktritt vom Vertrag liegt nur dann vor, wenn Framos dies ausdrücklich schriftlich erklärt. Die Geltendmachung des Eigentumsvorbehalts sowie die Pfändung des Liefergegenstandes durch Framos gelten nicht als Rücktritt vom Vertrag.   (3)   As long as Framos has not rescinded the contract due to conduct in breach of the contract by the Customer (“enforcement event”), the Customer shall be entitled to process and to sell goods subject to retention of title in the proper course of business. The Customer is, however, not entitled to pledges or transfers of ownership by way of security. The right to rescind the contract shall only be exercised, if this is explicitly declared in writing by Framos. The assertion of the retention of title and the seizure of the delivery item by Framos shall not constitute the rescission of the contract.
(4)   Soweit der Kunde die Vorbehaltsware verarbeitet, wird vereinbart, dass die Verarbeitung im Namen und für Rechnung von Framos als Hersteller erfolgt und Framos unmittelbar das Eigentum oder – wenn die Verarbeitung aus mehreren Stoffen mehrerer Eigentümer erfolgt oder der Wert der verarbeiteten Sache höher ist als der Wert der Vorbehaltsware – das Miteigentum (Bruchteilseigentum) an der neu geschaffenen Sache im Verhältnis des Werts der Vorbehaltsware zum Wert der neu geschaffenen Sache zur Zeit der Verarbeitung erwirbt. Für den Fall, dass kein solcher Eigentumserwerb bei Framos eintreten sollte, überträgt der Kunde Framos bereits jetzt sein künftiges Eigentum oder im oben genannten Verhältnis Miteigentum an der neu geschaffenen Sache zur Sicherheit. Wird die Vorbehaltsware mit anderen Sachen zu einer einheitlichen Sache verbunden oder untrennbar vermischt und ist eine der anderen Sachen als Hauptsache anzusehen, so überträgt Framos, soweit die Hauptsache Framos gehört, dem Kunden anteilig das Miteigentum an der einheitlichen Sache in dem in Satz 1 genannten Verhältnis.   (4)   To the extent the Customer processes the goods subject to retention of title, it is agreed that the processing shall occur in the name and on the account of Framos as manufacturer and that Framos shall directly obtain ownership of the property or – if several substances of several owners are processed together or the value of the processed good is higher than the value of the goods subject to retention of title – co-ownership (fractional ownership) of the newly created good in the proportion of the value of the goods subject to retention of title to the value of the newly created good at the time of processing. In case no such acquisition of ownership should occur, the Customer shall transfer his future ownership or co-ownership of the newly created good in the proportion mentioned above to Framos by way of security. If the goods subject to retention of title are combined or inseparably intermixed with other goods to one uniform good and one of these goods is to be considered the main good, Framos shall transfer co-ownership of the main good in the proportion mentioned in sentence 1 to the Customer as far as Framos owns the main good.
(5)  Im Fall der Weiterveräußerung der Vorbehaltsware tritt der Kunde an Framos bereits jetzt sicherungshalber die hieraus entstehende Forderung gegen den Erwerber ab, bei Miteigentum von Framos an der Vorbehaltsware anteilig entsprechend dem Miteigentumsanteil. Framos nimmt diese Abtretung an. Gleiches gilt für sonstige Forderungen, die an die Stelle der Vorbehaltsware treten oder sonst hinsichtlich der Vorbehaltsware entstehen, wie z.B. Versicherungsansprüche oder Ansprüche aus unerlaubter Handlung bei Verlust oder Zerstörung. Framos ermächtigt den Kunden widerruflich, die an Framos abgetretenen Forderungen im eigenen Namen einzuziehen. Framos darf diese Einzugsermächtigung widerrufen, soweit ein Verwertungsfall eintritt, Zahlungsunfähigkeit des Kunden eintritt oder ein Antrag auf Eröffnung eines Insolvenzverfahrens oder das Insolvenzverfahren über das Vermögen des Kunden eröffnet oder die Eröffnung des Insolvenzverfahrens mangels Masse abgelehnt wird. Die Befugnis von Framos, die Forderungen selbst einzuziehen, bleibt hiervon unberührt; jedoch verpflichtet sich Framos, die Forderungen nicht einzuziehen, solange der Kunde Framos gegenüber seinen Zahlungsverpflichtungen ordnungsgemäß nachkommt und keine Zahlungsunfähigkeit vorliegt oder Antrag auf Eröffnung eines Insolvenzverfahrens oder das Insolvenzverfahren über das Vermögen des Kunden eröffnet oder die Eröffnung mangels Masse abgelehnt wurde. Framos kann nach angemessener Fristsetzung verlangen, dass der Kunde die ihm abgetretenen Forderungen und deren Schuldner bekanntgibt, alle zum Einzug erforderlichen Angaben macht, die dazu gehörenden Unterlagen aushändigt und den Schuldnern die Abtretung mitteilt. Die daraus entstehenden Kosten trägt der Kunde. Ist die abgetretene Forderung gegen den Drittschuldner in eine laufende Rechnung aufgenommen worden, so ist die jeweilige Saldoforderung – einschließlich des Schlusssaldos – in Höhe der bei Einzelabtretung maßgebenden Werte abgetreten.   (5)   In the event of resale of the goods subject to retention of title the Customer already assigns the resulting claim against the purchaser to Framos here and now, in the case of Framos’ co-ownership of the goods subject to retention of title in the proportion of the co-ownership share. Framos accepts this assignment. The same shall apply for other claims that take the place of or arise with regard to the good subject to retention of title, such as insurance claims or claims arising from unlawful act in case of loss or destruction. Framos grants the Customer the revocable right to collect the receivables assigned to Framos in its own name. Framos may revoke this authorization, provided that an enforcement event occurs, an insolvency of the Customer occurs or a request for the opening of insolvency proceeding has been filed or the insolvency proceedings have been opened or the opening has been refused for insufficiency of assets. The authorisation of Framos to collect the receivables itself remains unaffected by this; however, Framos undertakes not to collect the receivables as long as the Customer complies with his payment obligations and the Customer is not insolvent or the request for the opening of insolvency proceedings has been filed or the insolvency proceeding has been opened for the assets of the Customer or the opening has been refused due to insufficiency of assets. After setting a reasonable deadline, Framos may demand that the Customer discloses assigned receivables and their debtor, provides all information necessary for the collection, hands over the relevant documents and informs the debtors of the assignment. The Customer shall bear all costs incurred by this. If the assigned receivable against a third party debtor was added to a current invoice, the respective balance claim – including the final balance – shall be deemed as assigned to the amount of the value relevant to the individual assignment.
(6)   Bei Pfändungen, Antrag auf Insolvenz oder Eröffnung eines Insolvenzverfahrens über das Vermögen des Kunden, Ablehnung der Eröffnung des Insolvenzverfahrens mangels Masse oder sonstigen Eingriffen Dritter oder Zugriffen Dritter auf die Vorbehaltsware wird der Kunde Framos unverzüglich schriftlich benachrichtigen, um Framos die Durchsetzung ihrer Eigentumsrechte zu ermöglichen. Der Kunde wird auf die Vorbehaltsware zugreifende Dritte, insbesondere bei Pfändung, unverzüglich auf das Eigentum von Framos hinweisen. Sofern der Dritte nicht in der Lage ist, Framos die in diesem Zusammenhang entstehenden gerichtlichen oder außergerichtlichen Kosten zu erstatten, haftet dafür der Kunde gegenüber Framos.   (6)   In cases of seizures, applications to initiate an insolvency or requests for the opening of insolvency proceedings for the assets of the Customer, refusal of the opening of insolvency proceedings due to insufficiency of assets or other interventions of third parties or legal accesses of third parties on goods subject to retention of title the Customer shall immediately notify Framos in writing to enable Framos to assert its property rights. The Customer shall immediately inform the accessing third parties of Framos’ property rights, in particular in the event of seizure. The Customer shall be liable to Framos as far as the third party is not able to reimburse the related judicial and extra-judicial expenses incurred.
(7)   Framos wird die Vorbehaltsware sowie die an ihre Stelle tretenden Sachen oder Forderungen auf schriftliches Verlangen nach ihrer Wahl frei geben, soweit ihr realisierbarer Wert den Wert der offenen und gesicherten Forderungen von Framos gegen den Kunden um mehr als 20 % übersteigt.   (7)   Framos shall release the goods subject to retention of title as well as goods replacing these or receivables at its own choice upon written request, as far as their realizable value exceeds the value of Framos’ unsettled and secured claims against the Customer by more than 20 %
(8)   Nach wirksamen Rücktritt wegen vertragswidrigem Verhaltens (Verwertungsfall), ist Framos berechtigt, die Vorbehaltsware heraus zu verlangen.   (8)   After an effective rescission due to conduct in breach of the contract (enforcement event), Framos shall be entitled to require the surrender of the goods subject to retention of title.
9              Mängel und Nacherfüllung   9           Defects and Supplementary Performance
(1)   Die Gewährleistungsfrist beträgt ein Jahr ab Lieferung oder, soweit eine Abnahme erforderlich ist, ab der Abnahme. Diese Frist gilt nicht für Schadensersatzansprüche des Kunden aus der Verletzung des Lebens, des Körpers oder der Gesundheit oder aus vorsätzlichen oder grob fahrlässigen Pflichtverletzungen des Verkäufers oder seiner Erfüllungsgehilfen, welche jeweils nach den gesetzlichen Vorschriften verjähren.   (1)  The warranty period shall be one year from delivery or, if acceptance is required, from the acceptance. This period shall not apply to claims for damages of the Customer arising from the injury of life, body or health or due to intentional or grossly negligent breaches of obligation of the seller or his vicarious agents, each of which shall lapse in accordance with the statutory provisions.
(2)   Die gelieferten Gegenstände sind unverzüglich nach Ablieferung an den Kunden oder an den von ihm bestimmten Dritten sorgfältig zu untersuchen. Sie gelten hinsichtlich offensichtlicher Mängel oder anderer Mängel, die bei einer unverzüglichen, sorgfältigen Untersuchung erkennbar gewesen wären, als vom Kunden genehmigt, wenn Framos nicht binnen sieben Werktagen nach Ablieferung eine schriftliche Mängelrüge zugeht. Hinsichtlich anderer Mängel gelten die Liefergegenstände als vom Kunden genehmigt, wenn die Mängelrüge Framos nicht binnen sieben Werktagen nach dem Zeitpunkt zugeht, in dem sich der Mangel zeigte; war der Mangel für den Kunden bei normaler Verwendung bereits zu einem früheren Zeitpunkt erkennbar, ist jedoch dieser frühere Zeitpunkt für den Beginn der Rügefrist maßgeblich. Auf Verlangen von Framos ist ein beanstandeter Liefergegenstand frachtfrei an Framos zurückzusenden. Bei berechtigter Mängelrüge vergütet Framos die Kosten des günstigsten Versandweges; dies gilt nicht, soweit die Kosten sich erhöhen, weil der Liefergegenstand sich an einem anderen Ort als dem Ort des bestimmungsgemäßen Gebrauchs befindet.   (2)  The delivered goods shall be carefully examined immediately after the delivery to the Customer or to a third party determined by him. They shall be deemed accepted by the Customer with regard to obvious defects or other defects, which would have been discernible by an immediate, careful examination, if Framos does not receive a written notice of defects within seven working days after the delivery. Regarding other defects the delivery items shall be deemed as accepted by the Customer, if Framos does not receive a notice of defects within seven working days of the date the defect became apparent; if in normal use the defect was discernible for the Customer already at an earlier time, this earlier time shall be relevant for the beginning of the notice period. Upon request of Framos a rejected delivery item shall be returned to Framos carriage paid. In case of a justified notice of defects Framos shall compensate the costs of the cheapest dispatch route; this shall not apply as far as the costs increase because the delivery item is located at a different place than the place of intended use.
(3)   Bei Sachmängeln der gelieferten Gegenstände ist Framos nach ihrer innerhalb angemessener Frist zu treffenden Wahl zunächst zur Nachbesserung oder Ersatzlieferung verpflichtet und berechtigt. Im Falle des Fehlschlagens, d.h. der Unmöglichkeit, Unzumutbarkeit, Verweigerung oder unangemessenen Verzögerung der Nachbesserung oder Ersatzlieferung, kann der Kunde vom Vertrag zurücktreten oder den Kaufpreis angemessen mindern.   (3)   In case of material defects of the delivered items, Framos shall be obliged and entitled to initially repair or replace at its own choice, whereby this choice shall be made within reasonable time. In the event of failure, i.e. the impossibility, unreasonableness, refusal or undue delay of the repair or replacement, the Customer may rescind the contract or reduce the purchase price appropriately.
(4)   Der Kunde ist im Rahmen der Ersatzlieferung verpflichtet, einen neuen gleichwertigen Liefergegenstand, der den Mangel nicht hat, anzunehmen, soweit dies für ihn zumutbar ist. Zumutbar ist die Ersatzlieferung dann, wenn der Liefergegenstand die vereinbarte Beschaffenheit hat und in gleichwertiger Weise geeignet ist, die vertraglichen Pflichten zu erfüllen. Im Falle der Ersatzlieferung hat der Kunde Framos die mangelhafte Sache nach den gesetzlichen Vorschriften zurückzugeben.   (4)  In the context of the replacement, the Customer is obliged to accept a new equivalent delivery item, which does not have the defect, provided this is reasonable for him. The replacement shall be deemed as reasonable if the delivery item is of the agreed quality and is suitable to fulfil the contractual obligations in an equivalent manner. In the case of replacement, the Customer shall return the defective item to Framos in accordance with the statutory provisions.
(5)   Framos ist im Rahmen der Nachbesserung berechtigt, wegen eines Mangels mindestens zwei Nachbesserungsversuche zu unternehmen. Der Kunde unterstützt Framos bei der Fehleranalyse und Nachbesserung, indem er insbesondere auftretende Probleme konkret beschreibt, Framos umfassend informiert und Framos die für die Nachbesserung erforderliche Zeit und Gelegenheit gewährt. Framos ist berechtigt, die Nachbesserung an einem Ort ihrer Wahl durchzuführen.   (5)  In context with the repair, Framos shall be entitled to make at least two attempts to repair on account of the defect. The Customer shall support Framos in analysing and repairing the defects, in particular by specifically describing problems encountered, by fully informing Framos and by granting Framos the time and opportunity required for the repair. Framos shall be entitled to make the repair at a location of their choice.
(6)   Soweit sich im Zuge von Nachbesserungsarbeiten herausstellt, dass Framos die gerügten Mängel nicht zuzurechnen sind, ist die Framos berechtigt, ihre Aufwendungen, insbesondere die Anfahrtskosten und den Personalaufwand, für die unberechtigte Mängelrüge ersetzt zu verlangen.   (6)   Framos shall be entitled to claim compensation for its expenses, in particular of travel expenses and staff costs, if it turns out in the course of repair work that the reported defect cannot be attributed to Framos.
(7)   Bei Mängeln von Bauteilen anderer Hersteller, die Framos aus lizenzrechtlichen oder tatsächlichen Gründen nicht beseitigen kann, wird Framos nach ihrer Wahl ihre Gewährleistungsansprüche gegen die Hersteller und Lieferanten für Rechnung des Kunden geltend machen oder an den Kunden abtreten. Gewährleistungsansprüche gegen Framos bestehen bei derartigen Mängeln unter den sonstigen Voraussetzungen und nach Maßgabe dieser AGB nur, wenn die gerichtliche Durchsetzung der vorstehend genannten Ansprüche gegen den Hersteller und Lieferanten erfolglos war oder, beispielsweise aufgrund einer Insolvenz, aussichtslos ist. Während der Dauer des Rechtsstreits ist die Verjährung der betreffenden Gewährleistungsansprüche des Kunden gegen Framos gehemmt.   (7)In the case of defects of components from other manufacturers which Framos cannot repair due to licensing or factual reasons, Framos shall assert warranty claims against the manufacturers and suppliers or assign them to the Customer. Warranty claims against Framos for such defects shall only exist in accordance with the other requirements and these General Terms if the judicial enforcement of the aforementioned claims against the manufacturer and suppliers were not successful or, for example due to an insolvency, lack a prospect of success. The limitation of the Customers’ respective warranty claim against Framos shall be suspended for the duration of the legal dispute.
(8)   Die Gewährleistungsrechte entfallen, soweit der Kunde ohne die ausdrückliche schriftliche Zustimmung von Framos den Liefergegenstand ändert oder durch Dritte ändern lässt und die Nachbesserung hierdurch unmöglich oder unzumutbar erschwert wird. Das gilt nicht für Änderungen, die im Rahmen des bestimmungsgemäßen Gebrauchs erfolgen. Der Kunde ist berechtigt, darzulegen und nachzuweisen, dass die Änderungen in keinem Zusammenhang mit dem behaupteten Mangel stehen und die Nachbesserung hierdurch nicht unmöglich oder unzumutbar erschwert wird. In jedem Fall hat der Kunde die durch die Änderung entstehenden Mehrkosten der Nachbesserung zu tragen.   (8)   The warranty rights shall be inapplicable, as far as the Customer modifies the delivery item or has it modified by a third party without the explicit written consent of Framos and the repair becomes impossible or unreasonably difficult because of this. This shall not apply to modifications made in the context of the intended use. The Customer shall be entitled to explain and to prove that the modifications are in no way related to the alleged defect and the repair did not become impossible or unreasonably difficult due to the modification. In any case the Customer shall bear the additional costs of the repair caused by the modification.
(9)   Auf Ansprüche des Kunden auf Ersatz von Schäden und Aufwendungen finden die Bestimmungen der Ziffer 11 dieser AGB Anwendung.   If the Customer eliminates the defect himself, he shall only be entitled to demand the reimbursement of the necessary expenses from Framos after a previous written agreement with Framos.
(10)   Beseitigt der Kunde einen Mangel selbst, ist er nur nach vorheriger schriftlicher Vereinbarung mit Framos berechtigt, Ersatz der hierfür erforderlichen Aufwendungen von Framos zu verlangen.   (10)   If the Customer eliminates the defect himself, he shall only be entitled to demand the reimbursement of the necessary expenses from Framos after a previous written agreement with Framos.
10           Schutzrechte Dritter   10        Intellectual Property Rights of Third Parties
(1)   Der Kunde wird Framos unverzüglich schriftlich benachrichtigen, falls ihm gegenüber Ansprüche wegen der Verletzung von gewerblichen Schutzrechten oder Urheberrechten Dritter (Schutzrechte Dritter) geltend gemacht werden.   (1)   The Customer shall immediately notify Framos in writing if claims based on the infringement of industrial property rights or of copyrights of third parties (intellectual property rights of third parties) are asserted against him.
(2)  In dem Fall, dass der Liefergegenstand Schutzrechte Dritter verletzt, wird Framos nach ihrer Wahl und auf ihre Kosten den Liefergegenstand derart abändern oder austauschen, dass keine Schutzrechte Dritter mehr verletzt werden, der Liefergegenstand aber weiterhin die vertraglich vereinbarten Funktionen erfüllt, oder dem Kunden durch Abschluss eines Lizenzvertrages das Nutzungsrecht verschaffen. Gelingt Framos dies innerhalb eines angemessenen Zeitraums nicht, ist der Kunde nach Maßgabe der gesetzlichen Vorschriften berechtigt, von dem Vertrag zurückzutreten oder die Vergütung angemessen zu mindern. Etwaige Schadensersatzansprüche des Kunden unterliegen den Beschränkungen der Ziffer 11 dieser AGB.   (2)   In case the delivery item violates intellectual property rights of third parties, Framos shall, at its own choice and expense, modify or replace the delivery item to such an extent that intellectual property rights of third parties are not violated any more but the delivery item still fulfils its contractually agreed functions or it shall procure the right of use to the Customer by concluding a license agreement. If Framos does not succeed in doing so within a reasonable period of time, the Customer is entitled to rescind from the contract or to reduce the remuneration appropriately in accordance with the statutory provisions. Any possible claims for damages of the Customer are subject to the restrictions of paragraph 11 of these General Terms.
(3)   Soweit Framos dem Kunden einen Freistellungsanspruch gewährt, setzt ein solcher Anspruch insbesondere voraus, (i) dass der Kunde Framos unverzüglich von geltend gemachten Schutz- oder Urheberrechtsverletzungen unterrichtet, (ii) dass der Kunde Framos in angemessenem Umfang bei der Abwehr der geltend gemachten Ansprüche unterstützt bzw. der Framos die Durchführung der Modifizierungsmaßnahme ermöglicht, (iii) dass Framos alle Abwehrmaßnahmen einschließlich außergerichtlicher Regelung vorbehalten bleiben, (iv) dass der Liefergegenstand nicht auf Anweisung des Kunden gefertigt oder abgeändert wurde und (v) dass die Rechtsverletzung nicht dadurch unsachgemäß verursacht wurde, dass der Kunde den Liefergegenstand eigenmächtig geändert hat.   (3)   As far as the Customer grants Framos a right to indemnity, such entitlement presupposes in particular (i) that the Customer informs Framos of asserted violations of intellectual property rights or copyrights immediately, (ii) that the Customer supports Framos to a reasonable extent in the defence against the asserted claims or, respectively, allows Framos to perform the modification measure (iii) that all defence measures, including extra-judicial settlement are reserved for Framos, (iv) that the delivery item was not manufactured or modified on instruction of the Customer and (v) that the infringement was not incorrectly caused by the fact that the Customer modified without authorisation.
11          Haftung der Framos   11        Liability of Framos
(1)   Framos haftet nach den nachfolgenden Regelungen. Sie gelten für alle vertraglichen und außervertraglichen Schadensersatzansprüche unabhängig von ihrem Rechtsgrund sowie entsprechend für die Haftung für vergebliche Aufwendungen.   (1)   Framos shall bear liability in accordance with the following provisions. They shall apply to all contractual and non-contractual claims for damages, irrespective of their legal basis as well as mutatis mutandis for the liability for futile expenses.
(2)   Framos haftet ohne vertragliche Beschränkung nach den gesetzlichen Vorschriften   (2)  Framos shall bear liability without contractual limitations in accordance with the statutory provisions
für Schäden, die auf einer Verletzung einer von Framos übernommenen Garantie beruhen;für Schäden, die darauf beruhen, dass Framos einen Mangel arglistig verschwiegen hat;für Schäden aus der Verletzung des Lebens, des Körpers oder der Gesundheit, die auf einer vorsätzlichen oder fahrlässigen Pflichtverletzung von Framos oder sonst auf vorsätzlichem oder fahrlässigem Verhalten eines gesetzlichen Vertreters oder Erfüllungsgehilfen von Framos beruhen;für andere Schäden, die auf einer vorsätzlichen oder grob fahrlässigen Pflichtverletzung von Framos oder sonst auf vorsätzlichem oder grob fahrlässigem Verhalten eines gesetzlichen Vertreters oder Erfüllungsgehilfen von Framos beruhen;nach dem Produkthaftungsgesetz.   for damages based on a breach of guarantee granted by Framos;. for damages based on the fact that Framos fraudulently concealed a defect;for damages based on the injury of life, body or health or on an intentional or negligent breach of obligation by Framos or on other intentional or negligent conduct of a legal representative or a vicarious agent of Framos;for other damages based on an intentional or grossly negligent breach of obligation by Framos or on other intentional or grossly negligent conduct by a legal representative or a vicarious agent of Framos;according to the German Product Liability Act (Produkthaftungsgesetz).
(3)  In anderen als den in Ziffer 11 Abs. 2 aufgeführten Fällen ist die Haftung von Framos auf den Ersatz des vertragstypischen und vorhersehbaren Schadens beschränkt, soweit der Schaden auf einer fahrlässigen Verletzung von wesentlichen Pflichten durch Framos oder durch einen gesetzlichen Vertreter oder Erfüllungsgehilfen von Framos beruht. Wesentlich sind solche Pflichten, deren Erfüllung die ordnungsgemäße Durchführung des Vertrages überhaupt erst ermöglicht und auf deren Einhaltung der Kunde regelmäßig vertraut und vertrauen darf („Kardinalpflichten“).   (3)  In other cases than those listed in paragraph 11 (2) the liability of Framos shall be limited to the compensation of the typical and foreseeable damage, insofar as the damage is based on a negligent breach of material obligations by Framos or by a legal representative or by a vicarious agents of Framos. Such obligations shall be material that mainly facilitate the proper performance of the contract in the first place and on the compliance with which the Customer regularly relies on and may rely on (“cardinal obligations”).
(4)   In anderen als den in Ziffer 11 Abs. 1 und 2 aufgeführten Fällen ist die Haftung wegen Fahrlässigkeit ausgeschlossen.   (4)   The liability for negligence shall be excluded in other cases than those listed in paragraph 11 (1) and (2).
(5)   Der Einwand des Mitverschuldens bleibt unberührt.   (5)   The objection of contributory negligence remains unaffected.
12          Besondere Bestimmungen grenzüberschreitender Geschäfte   12        Special Provisions on Cross-Border Transactions
(1)   Holt ein Kunde, der außerhalb der Bundesrepublik Deutschland ansässig ist, oder dessen Beauftragter Ware ab oder befördert oder versendet er diese in das Ausland, so hat der Kunde Framos den steuerlich erforderlichen Ausfuhrnachweis beizubringen. Wird dieser Nachweis nicht erbracht, hat der Kunde für die Lieferung innerhalb der Bundesrepublik Deutschland geltende Umsatzsteuer für den Rechnungsbetrag zu zahlen.   (1)  If a Customer or his representative located outside of the Federal Republic of Germany collects goods or transports or ships these abroad, the Customer shall provide the proof of export required for tax purposes to Framos. If such proof is not provided, the Customer shall pay the applicable VAT rate on the invoiced amount for the delivery within the Federal Republic of Germany
(2)   Bei Lieferungen von der Bundesrepublik Deutschland in andere EU-Mitgliedstaaten hat der Kunde Framos vor der Lieferung seine Umsatzsteuer-Identifikations-Nummer mitzuteilen, unter der er die Erwerbssteuer innerhalb der EU durchführt. Anderenfalls hat er für unsere Lieferungen zusätzlich zum vereinbarten Kaufpreis den von Framos gesetzlich geschuldeten Umsatzsteuerbetrag zu zahlen.   (2)   In cases of deliveries from the Federal Republic of Germany to other Member States of the EU the Customer shall notify Framos on the VAT identification number under which his purchase is taxed within the EU. Failing that, he shall have to pay the VAT amount legally owed by Framos in addition to the agreed purchase price.
(3)   Bei der Abrechnung von Lieferungen von der Bundesrepublik Deutschland in andere EUMitgliedstaaten kommt die Umsatzsteuerregelung des jeweiligen Empfänger-Mitgliedstaates zur Anwendung, wenn entweder der Kunde in einem anderen EU-Mitgliedstaat zur Umsatzsteuer registriert ist oder wenn Framos in dem Empfänger-Mitgliedstaat zur Umsatzsteuer registriert ist.   (3)  If either the Customer is registered for VAT purposes in another Member State of the EU or Framos is registered for VAT purposes in the receiving Member State of the EU, the VAT regulations of the respective Member State of the EU shall be applicable for the invoicing of deliveries from the Federal Republic of Germany to other Member States of the EU.
13              Besondere Bestimmungen für Seminare und Trainings   13           Special Provisions for Seminars and Trainings
(1)   Vertretung: Der Kunde kann jederzeit anstelle des angemeldeten Teilnehmers einen Vertreter benennen. Dem Kunden entstehen dabei keine zusätzlichen Kosten.   (1)   Representation: The customer may appoint a representative in place of the registered participant at any time. The customer does not incur any additional costs.
(2)   Stornierung: Der Kunden kann jederzeit vom Vertrag zurücktreten. Dies ist jedoch nur schriftlich, Textform genügt, möglich. Dabei erhebt Framos die folgenden Bearbeitungsgebühren:ONLINE Trainings:- Stornierung bis 14 Tage vor Veranstaltungsbeginn erstattet Framos 100% der Teilnahmegebühr- Stornierung bis 7 Tage vor Veranstaltungsbeginn erstattet Framos 50% der Teilnahmegebühr- Für spätere Stornierungen wird keine Erstattung mehr vorgenommen. (3)   Absage von Veranstaltungen: Framos behält sich vor, die Veranstaltung wegen zu geringer Nachfrage bzw. Teilnehmerzahl (bis spätestens 10 Tage vor dem geplanten Veran-staltungstermin) oder aus sonstigen wichtigen, von Framos nicht zu vertretenden Gründen (z. B. plötzliche Erkrankung des Referenten, höhere Gewalt) abzusagen. Bereits vom Kunden entrichtete Teilnahmegebühren werden diesem zurückerstattet. Weitergehende Haftungs- und Schadenersatzansprüche, die nicht die Verletzung von Leben, Körper oder Gesundheit betreffen, sind, soweit nicht Vorsatz oder grobe Fahrlässigkeit von Seiten Framos vorliegt, sind ausgeschlossen.   (3)   Cancellation of events: Framos reserves the right to cancel the event due to insufficient demand or number of participants (at the latest 10 days before the planned event date) or for other important reasons for which Framos is not responsible (e.g. sudden illness of the speaker, force majeure). Participation fees already paid by the customer will be refunded. Further liability and damage claims, which do not concern injury to life, body or health, are excluded, unless Framos is guilty of intent or gross negligence.
(4)   Änderungsvorbehalte: Framos ist berechtigt, notwendige inhaltliche, methodische und organisatorische Änderungen oder Abweichungen (z. B. aufgrund von Rechtsänderungen) vor oder während der Veranstaltung vorzunehmen, soweit diese den Nutzen der angekündigten Veranstaltung für den Teilnehmer nicht wesentlich ändern. Framos ist berechtigt, die vorgesehenen Referenten im Bedarfsfall (z. B. Krankheit, Unfall) durch andere hinsichtlich des angekündigten Themas gleich qualifizierte Personen zu ersetzen.Die im Rahmen der Weiterbildung zur Verfügung gestellten Dokumente werden nach bestem Wissen und Kenntnisstand erstellt. Haftung und Gewähr für die Korrektheit, Aktualität, Vollständigkeit und Qualität der Inhalte sind ausgeschlossen.   (4)   Reservations of change: Framos is entitled to make necessary changes or deviations (e.g. due to legal changes) in terms of content, methods and organisation before or during the event, as long as these do not substantially change the benefit of the announced event for the participant. Framos is entitled to replace the intended speakers, if necessary (e.g. illness, accident), by other equally qualified persons with regard to the announced topic.The documents made available in the context of the further training are prepared to the best of our knowledge and belief. Liability and guarantee for the correctness, topicality, completeness and quality of the contents are excluded.
(5)   Eigentumsvorbehalt und Nutzung von Lehrmaterial: Framos behält sich vor bei allen Lieferungen von Lehrmaterialien das uneingeschränkte Eigentum bis zur vollständigen Erfüllung sämtlicher Zahlungsverpflichtungen durch den Kunden vor. Die Weitergabe an Dritte, also an Personen, die weder Arbeitskollegen oder Mitarbeiter des Kunden sind, oder öffentliche Verbreitung oder Zugänglichmachung von Lehrgangsunterlagen oder Lehrmaterialien ist nicht zugelassen. Insbesondere die Veröffentlichung von Audio- oder Videodaten, digitalen Präsentationen oder Skripten in öffentlich zugänglichen Internetportalen (Sharing) ist untersagt.   (5)   Reservation of ownership and use of teaching material: Framos reserves the unrestricted ownership of all deliveries of teaching material until the customer has fulfilled all payment obligations in full. The passing on to third parties, i.e. to persons who are neither colleagues nor employees of the customer, or public distribution or making available of course documents or teaching materials is not permitted. In particular, the publication of audio or video data, digital presentations or scripts in publicly accessible Internet portals (sharing) is prohibited.
(6)   Foto- und Videoaufnahmen: In den Veranstaltungen können Fotografien von den Teilnehmenden im Rahmen eines Fotoprotokolls angefertigt werden. Diese Fotoprotokolle werden nur den Teilnehmenden der Veranstaltung in der Lernumgebung zur Verfügung gestellt. Sollte der Teilnehmer einer Aufnahme seiner Person oder dem Upload des Fotoprotokolls in die Lernumgebung nicht zustimmen, wendet sich der Teilnehmer an den Trainierenden.Bei einigen Veranstaltungen kann es auch zur Aufnahme der Teilnehmenden auf Fotos oder Videos kommen. Bitte beachten Sie, dass diese Aufnahmen und nicht die Fotoprotokolle zur Werbezwecken der Framos GmbH verwendet werden können.Sollten die Aufnahmen zu Werbezwecken verwendet werden, holt Framos das Einverständnis im Vorfeld der Veranstaltung gesondert ein.    (6)   Photo and video recordings: Photographs may be taken by the participants in the events as part of a photographic protocol. These photo protocols are only made available to the participants of the event in the learning environment. If the participant does not agree to have his/her person photographed or to upload the photo protocol into the learning environment, the participant will contact the trainer.Some events may also require participants to be recorded in photos or videos. Please note that these recordings and not the photo protocols can be used for advertising purposes of Framos GmbH.Should the recordings be used for advertising purposes, Framos will ask for permission separately in advance of the event.
14           Schlussbestimmungen   14       Final Provisions
(1)   Vertragssprache ist deutsch. Soweit diese AGB in anderen Sprachen vorliegen, ist die deutsche Version maßgeblich.   (1)   Contract language shall be German. As far as these General Terms are available in other languages, the German version shall prevail.
(2)   Wir verwenden die E-Mail-Adresse des Kunden um unseren Newsletter an die E-MailAdresse des Kunden zu senden. Der Verwendung dieser E-Mail-Adresse kann der Kunde zu diesem Zweck jederzeit widersprechen, ohne dass hierfür andere als die Übermittlungskosten nach den Basistarifen entstehen. Wir bitten unsere Kunden uns unter info@framos.de zu informieren, falls kein Newsletter per E-Mail mehr gewünscht wird.   (2)   We use our Customer’s email address to send our newsletter to his address. (3)   Verträge zwischen Framos und dem Kunden unterliegen dem Recht der Bundesrepublik Deutschland unter Ausschluss des UN-Kaufrechts und unter Ausschluss der Vorschriften des Internationalen Privatrechts.   (3)   Contracts between Framos and the Customer shall be governed by the law of the Federal Republic of Germany under exclusion of the provisions of the United Nations Convention on Contracts for the International Sale of Goods (CISG) and under exclusion of the rules of private international law.
(4)   Erfüllungsort für Leistungserbringung und Zahlung ist – soweit nichts Abweichendes vereinbart wird – der Sitz von Framos. Gerichtsstand für alle sich aus dem Vertragsverhältnis unmittelbar oder mittelbar ergebenden Streitigkeiten mit Kaufleuten, juristischen Personen des öffentlichen Rechts oder öffentlich-rechtlichen Sondervermögen ist der Sitz von Framos; Framos ist nach ihrer Wahl auch berechtigt, am Sitz des Kunden Klage zu erheben.   (4)   Unless otherwise agreed, the place of service provision and payment shall be the registered office of Framos. The place of jurisdiction for any and all disputes with merchants, legal persons under public law or special assets (“Sondervermögen”) under public law arising directly or indirectly out of the contractual relationship shall be the registered office of Framos; Framos shall, at its choice, also be entitled to bring an action at the registered office of the Customer.
(5)   Änderungen und Ergänzungen von Vereinbarungen können nur schriftlich erfolgen. Dies gilt auch für die Aufhebung dieser Klausel. Auch Garantien und Zusicherungen von Eigenschaften durch Framos, Mängelanzeigen, Mahnungen und Fristsetzungen des Kunden sowie Erklärungen zur Minderung, zum Rücktritt oder zur Kündigung durch den Kunden bedürfen zu ihrer Wirksamkeit der Schriftform.   (5)  Amendments and addenda of agreements may only be concluded in writing. This shall also apply to any waiver of this clause. Guarantees and warranted qualities granted by Framos, notifications of defects, reminders and deadlines set by the Customer, as well as declarations on the reduction, the rescission or the termination by the Customer need to be given in writing in order to become effective.
(6)   Die Schriftform nach sämtlichen Regelungen dieser AGB wird durch die telekommunikative Übermittlung mittels Telefax und bei einem Vertrag durch Briefwechsel gewahrt. Im Übrigen findet § 127 Abs. 2 BGB keine Anwendung.   (6)   The written form in accordance to all provisions of these General Terms shall be observed if the transmission takes place by means of telecommunication by fax and, in the case of a contract, by the exchange of letters. (7)   Sollten einzelne Bestimmungen des Vertrages einschließlich dieser AGB ganz oder teilweise unwirksam oder undurchführbar sein oder werden, wird die Wirksamkeit der übrigen Bestimmungen des Vertrages einschließlich dieser AGB davon nicht berührt. Soweit der Vertrag oder diese AGB Regelungslücken enthalten, gelten zur Ausfüllung dieser Lücken diejenigen rechtlich wirksamen Regelungen als vereinbart, welche die Vertragsparteien nach den wirtschaftlichen Zielsetzungen des Vertrages und dem Zweck dieser AGB vereinbart hätten, wenn sie die Regelungslücke gekannt hätten.   (7)  Should individual provisions of the contract including these terms and conditions be or become entirely or partially invalid or unenforceable, the validity of the remaining provisions of the contract including these General Terms shall not be affected by this. If the contract or these General Terms contain any gaps, such legally effective provisions shall be deemed as agreed, that would have been agreed on by the parties with regard to the commercial objectives of the contract and the purpose of these General Terms, had they been aware of the gap.

I. General Provisions

1. Legal relations between Supplier and Purchaser in connection with supplies and/or services which include proprietary IP of the Supplier (hereinafter referred to as “Supplies”) shall be solely governed by the present General Conditions for the supply of FRAMOS systems for the supply of FRAMOS systems. The Purchaser’s general terms and conditions shall apply only if expressly accepted by the Supplier in writing. The scope of delivery shall be determined by the congruent mutual written declarations.

2. The Supplier herewith reserves any industrial property rights and/or copyrights pertaining to its cost estimates, drawings and other documents (hereinafter referred to as “Documents”). The Documents shall not be made accessible to third parties without the Supplier’s prior consent and shall, upon request, be returned without undue delay to the Supplier if the contract is not awarded to the Supplier.

3. The Purchaser has the non-exclusive right to use standard software and firmware, provided that it remains unchanged, is used within the agreed performance parameters, and on the agreed equipment.

4. Partial deliveries are allowed, unless they are unreasonable to accept for the Purchaser.

5. The term „claim for damages” used in the present General Conditions for the supply of FRAMOS systems also includes claims for indemnification for useless expenditure.

II. Prices and Terms of Payment

1. Prices are ex works and excluding packaging; value added tax shall be added at the then applicable rate.

2. If the Supplier is also responsible for assembly or erection and unless otherwise agreed, the Purchaser shall pay the agreed remuneration and any incidental costs required, e.g. for traveling and transport as well as allowances.

3. Payments shall be made free Supplier’s paying office.

4. Any claims are payable within 14 days.

III. Retention of Title

1. The items pertaining to the Supplies (“Retained Goods”) shall remain the Supplier’s property until each and every claim the Supplier has against the Purchaser on account of the business relationship has been fulfilled.

2. For the duration of the retention of title, the Purchaser may not pledge the Retained Goods or use them as security, and resale shall be possible only for resellers in the ordinary course of their business and only on condition that the reseller receives payment from its customer or makes the transfer of property to the customer dependent upon the customer fulfilling its obligation to effect payment.

3. Should the Purchaser resell Retained Goods, it assigns to the Supplier, already today, all claims it will have against its customers out of the resale, including any collateral rights and all balance claims, as security, without any subsequent declarations to this effect being necessary. If the Retained Goods are sold on together with other items and no individual price has been agreed with respect to the Retained Goods, Purchaser shall assign to the Supplier such fraction of the total price claim as is attributable to the price of the Retained Goods invoiced by Supplier.

IV. Time for Supplies, Delay

1. Times set for Supplies shall only be binding if all Documents to be furnished by the Purchaser, necessary permits and approvals, especially concerning plans, are received in time and if agreed terms of payment and other obligations of the Purchaser are fulfilled. If these conditions are not fulfilled in time, times set shall be extended reasonably; this shall not apply if the Supplier is responsible for the delay.

2. If nonobservance of the times set is due to:

a) force majeure, such as mobilization, war, terror attacks, rebellion or similar events (e. g. strike or lockout);

b) virus attacks or other attacks on the Supplier’s IT-systems occurring despite protective measures were in place that complied with the principles of proper care;

c) hindrances attributable to German, US or otherwise applicable national, EU or international rules of foreign trade law or to other circumstances for which Supplier is not responsible; or

d) the fact that Supplier does not receive its own supplies in due time or in due form

such times shall be extended accordingly.

V. Passing of Risk

The risk shall pass to the Purchaser at the time when it is shipped or picked up by the carrier.

VI. Assembly and Erection

Unless otherwise agreed in written form, assembly and erection shall be subject to the following provisions:

1. Purchaser shall provide at its own expense and in due time:

a) all ancillary work necessary for assembly and erection outside the Supplier’s scope, including the necessary skilled and unskilled labor, construction materials and tools;

b) the equipment and materials necessary for assembly and commissioning such as scaffolds, lifting equipment and other devices as well as fuels and lubricants;

c) energy and water at the point of use including connections, heating and lighting;

d) suitable dry and lockable rooms of sufficient size adjacent to the site for the storage of machine parts, apparatus, materials, tools, etc. and adequate working and recreation rooms for the erection personnel, including sanitary facilities as are appropriate in the specific circumstances; furthermore, the Purchaser shall take all measures it would take for the protection of its own possessions to protect the possessions of the Supplier and of the erection personnel at the site;

e) protective clothing and protective devices needed due to particular conditions prevailing on the specific site.

f) pre-tests of communication, especially electronic connectors and the connection to the plant control system to enable a system test at the time of erection.

2. Before the erection work starts, the Purchaser shall unsolicitedly make available any information required concerning the location of concealed electric power, gas and water lines or of similar installations as well as the necessary structural data.

3. Prior to assembly or erection, the materials and equipment necessary for the work to start must be available on the site of assembly or erection and any preparatory work must have advanced to such a degree that assembly or erection can be started as agreed and carried out without interruption. Access roads and the site of assembly or erection must be level and clear.

4. If assembly, erection or commissioning is delayed due to circumstances for which the Supplier is not responsible, the Purchaser shall bear the reasonable costs incurred for idle times and any additional traveling expenditure of the Supplier or the erection personnel.

5. The Purchaser shall attest to the hours worked by the erection personnel towards the Supplier at weekly intervals and the Purchaser shall immediately confirm in written form if assembly, erection or commissioning has been completed.

6. If, after completion, the Supplier demands acceptance of the Supplies, the Purchaser shall comply therewith within a period of two weeks. If the responsibility of erection lies with the Purchaser, the Supplier can demand acceptance of the Supplies 2 months after the delivery date. The same consequences as upon acceptance arise if and when the Purchaser lets the two-week period expire or the Supplies are put to use after completion of agreed test phases, if any.

7. Any claims are payable within 14 days.

VII. Phone-Helpdesk

1. The Purchaser can receive support for software and hardware of the Supplier via telephone. The support can include technical explanations for the Supplier’s software and hardware with regard to operating requirements and proprietary functional aspects, as well as configurations of software and hardware, questions of usage and operation. Service and maintenance of the software and hardware of the Supplier is not part of these General Conditions for the supply of FRAMOS systems.

2. Support via telephone is only available in case of free capacities of the Supplier. Times of a possible support via telephone are Monday – Friday from 9 am until 5 pm. This excludes German and Bavarian holidays, as well as the 24th and 31st of December.

3. Support via telephone is charged on a time basis with increments of 30 minutes. Each increment is charged with 90 €.

4. Any claims are payable within 14 days.

VIII. Receiving Supplies

The Purchaser shall not refuse to receive Supplies due to minor defects.

IX. Defects as to Quality

The Supplier shall be liable for defects as to quality (“Sachmängel”, hereinafter referred to as “Defects”,) as follows:

1. Defective parts or defective services shall be, at the Supplier’s discretion, repaired, replaced or provided again free of charge, provided that the reason for the Defect had already existed at the time when the risk passed.

2. Claims for repair or replacement are subject to a statute of limitations of 12 months calculated from the start of the statutory statute of limitations; the same shall apply mutatis mutandis in the case of rescission and reduction, in the case of intent, fraudulent concealment of the Defect or non-compliance with guaranteed characteristics (“Beschaffenheitsgarantie”). The legal provisions regarding suspension of the statute of limitations (“Ablaufhemmung”, “Hemmung”) and recommencement of limitation periods shall be unaffected.

3. Notifications of Defect by the Purchaser shall be given in written form without undue delay.

4. In the case of notification of a Defect, the Purchaser may withhold payments to an amount that is in a reasonable proportion to the Defect. The Purchaser, however, may withhold payments only if the subject-matter of the notification of the Defect involved is justified and incontestable. The Purchaser has no right to withhold payments to the extent that its claim of a Defect is time-barred. Unjustified notifications of Defect shall entitle the Supplier to demand reimbursement of its expenses by the Purchaser.

5. The Supplier shall be given the opportunity to repair or to replace the defective good (“Nacherfüllung”) within a reasonable period of time.

6. There shall be no claims based on Defect in cases of insignificant deviations from the agreed quality, of only minor impairment of usability, of natural wear and tear, or damage arising after the passing of risk from faulty or negligent handling, excessive strain, unsuitable equipment, defective civil works, inappropriate foundation soil, or claims based on particular external influences not assumed under the contract, or from non-reproducible software errors. Claims based on defects attributable to improper modifications or repair work carried out by the Purchaser or third parties and the consequences thereof are likewise excluded.

7. The Purchaser shall have no claim with respect to expenses incurred in the course of supplementary performance, including costs of travel, transport, labor, and material, to the extent that expenses are increased because the subject matter of the Supplies has subsequently been brought to another location than the Purchaser’s branch office, unless doing so complies with the normal use of the Supplies.

8. The Purchaser shall have no claim for damages based on Defects. This shall not apply to the extent that a Defect has been fraudulently concealed, the guaranteed characteristics are not complied with, in the case of loss of life, bodily injury or damage to health, and/or intentionally or grossly negligent breach of contract on the part of the Supplier. The above provisions do not imply a change in the burden of proof to the detriment of the Purchaser.

X. Industrial Property Rights and Copyrights; Defects in Title

1. Unless otherwise agreed, the Supplier shall provide the Supplies free from third parties’ industrial property rights and copyrights (hereinafter referred to as “IPR”) with respect to the country of the place of delivery only. If a third party asserts a justified claim against the Purchaser based on an infringement of an IPR by the Supplies made by the Supplier and used in conformity with the contract, the Supplier shall be liable to the Purchaser within the time period stipulated in Article IX No. 2 as follows:

a) The Supplier shall choose whether to acquire, at its own expense, the right to use the IPR with respect to the Supplies concerned or whether to modify the Supplies such that they no longer infringe the IPR or replace them. If this would be impossible for the Supplier under reasonable conditions, the Purchaser may rescind the contract or reduce the remuneration pursuant to the applicable statutory provisions;

b) The Supplier’s liability to pay damages is governed by Article IX.

c) The above obligations of the Supplier shall apply only if the Purchaser (i) immediately notifies the Supplier of any such claim asserted by the third party in written form, (ii) does not concede the existence of an infringement and (iii) leaves any protective measures and settlement negotiations to the Supplier’s discretion. If the Purchaser stops using the Supplies in order to reduce the damage or for other good reason, it shall be obliged to point out to the third party that no acknowledgement of the alleged infringement may be inferred from the fast that the use has been discontinued.

2. Claims of the Purchaser shall be excluded if it is responsible for the infringement of an IPR.

3. Claims of the Purchaser are also excluded if the infringement of the IPR is caused by specifications made by the Purchaser, by a type of use not foreseeable by the Supplier or by the Supplies being modified by the Purchaser or being used together with products not provided by the Supplier.

4. In addition, with respect to claims by the Purchaser pursuant to No. 1 a) above, Article IX Nos. 4 and 5 shall apply mutatis mutandis in the event of an infringement of an IPR.

5. Where other defects in title occur, Article IX shall apply mutatis mutandis.

6. Any other claims of the Purchaser against the Supplier or its agents or any such claims exceeding the claims provided for in this Article X, based on a defect in title, are excluded.

XI. Conditional Performance

1. The performance of this contract is conditional upon that no hindrances attributable to German, US or otherwise applicable national, EU or international rules of foreign trade law or any embargos or other sanctions exist.

2. The Purchaser shall provide any information and Documents required for export, transport and import purposes.

XII. Impossibility of Performance; Adaptation of Contract

1. To the extent that delivery is impossible, the Purchaser is entitled to claim damages, unless the Supplier is not responsible for the impossibility. The Purchaser’s claim for damages is, however, limited to an amount of 10 % of the value of the part of the Supplies which, owing to the impossibility, cannot be put to the intended use. This limitation shall not apply in the case of liability based on intent, gross negligence or loss of life, bodily injury or damage to health; this does not imply a change in the burden of proof to the detriment of the Purchaser. The Purchaser’s right to rescind the contract shall be unaffected.

2. Where events within the meaning of Article IV No. 2 (a) to (c) substantially change the economic importance or the contents of the Supplies or considerably affect the Supplier’s business, the contract shall be adapted taking into account the principles of reasonableness and good faith. To the extent this is not justifiable for economic reasons, the Supplier shall have the right to rescind the contract. The same applies if required export permits are not granted or cannot be used. If the Supplier intends to exercise its right to rescind the contract, it shall notify the Purchaser thereof without undue delay after having realized the repercussions of the event; this shall also apply even where an extension of the delivery period has previously been agreed with the Purchaser

XIII. Other Claims for Damages

1. Unless otherwise provided for in the present General Conditions for the supply of FRAMOS systems, the Purchaser has no claim for damages based on whatever legal reason, including infringement of duties arising in connection with the contract or tort.

2. This does not apply if liability is based on:

a) the German Product Liability Act (“Produkthaftunsgesetz”);

b) intent;

c) gross negligence on the part of the owners, legal representatives or executives;

d) fraud;

e) failure to comply with a guarantee granted;

f) negligent injury to life, limb or health; or

g) negligent breach of a fundamental condition of contract (“wesentliche Vertragspflichten”).

3. The above provision does not imply a change in the burden of proof to the detriment of the Purchaser.

XIV. Venue and Applicable law

1. If the Purchaser is a businessman, sole venue for all disputes arising directly or indirectly out of the contract shall be the Supplier’s place of business. However, the Supplier may also bring an action at the Purchaser’s place of business.

2. This contract and its interpretation shall be governed by German law, to the exclusion of the United Nations Convention on contracts for the International Sale of Goods (CISG).

XV. Severability Clause

The legal invalidity of one or more provisions of this Agreement in no way affects the validity of the remaining provisions. This shall not apply if it would be unreasonably onerous for one of the parties to be obligated to continue the contract.
